A proven transactional attorney with more than two decades of experience, Asaf primarily represents telecom infrastructure funds in their mergers and acquisitions (M&A), corporate and real estate transactions, and artificial intelligence (AI) technology companies in their transactional needs.

From complex contracts and financings to traditional M&A portfolio acquisitions that are at the intersection of corporate and real estate work to other general transactional matters, Asaf is known for his strategic, substantive and diligent approach to getting deals done efficiently.

Asaf has focused on representing several telecom infrastructure funds in their development and acquisition of tower portfolios and other assets, representing fiber companies in their joint ventures, and in the sale and purchase of data centers. He has developed a particular expertise in wireless infrastructure transactions, based not only on industry and vertical-specific knowledge, but also the practical needs that impact the representations, warranties and indemnifications of buyers and sellers, the assignments of ground leases and easements for traditional cell towers and macro cell sites and rooftops, as well as purchase price adjustments related to cash flows.

Asaf has also supported the growth of several technology companies as outside general counsel, with a particular focus on the comprehensive legal needs of companies providing AI-driven solutions, from AI-specific contracts to venture financings to privacy policies and board and governance issues.

Telecom Transactions – Corporate and Real Estate - Towers, Data Centers, Fiber Network, WiFi, DAS
  • Represented several leading wireless infrastructure investment funds in 25 different acquisitions and dispositions of tower portfolios in 42 states across the U.S., with deal values over $1 billion, including the diligence of ground leases, easements, tower tenant leases, assignments of tower assets, title issues and all aspects of the purchase and sale agreements and closings.
  • Represented a leading NYC-based telecom infrastructure provider in its merger with a northeast-based fiber provider, creating the New York region’s leading infrastructure and fiber provider, with a combined value in hundreds of millions, including the handling of negotiation of the merger agreement and related corporate transaction documents and closing.
  • Represented a data center owner in its sale of a data center portfolio to a major telecom data center fund.
  • Represented the equity owners of a Mid-Atlantic and northeast wireless tower development company in its multimillion-dollar sale to a wireless infrastructure group, including leading the due diligence response, negotiation and drafting of the purchase agreement and related transaction documents.
  • Represented the founders of a Mid-Atlantic tower development company in its sale of the business to a leading telecommunications infrastructure provider, with a deal value in the multimillion-dollar range.

  • Represented a Canadian energy company in its $250 million joint venture and merger with a U.S.-based energy company.
  • Represented an energy infrastructure company in its corporate reorganization.

  • Sell-side: Represented the founders of a mobile app developer and consumer engagement, analytics and brand loyalty platform company focusing on major U.S. retailers and the company itself in its merger transaction with a large publicly traded, consumer financial services bank.
  • Sell-side: Represented the founders of a social media agency in their $150 million sale to a subsidiary of one of the world’s largest publicly traded conglomerates.
  • Buy-side: Represented a health services and fitness company in a series of purchases of competitors, total in excess of $50 million.
  • Sell-side: Represented a telecommunications company in its multimillion stock purchase of a new market entrant.

  • Represented a mobile platform company in its multimillion dollar Series A and Series B financing rounds.
  • Represented an AI company in its multimillion dollar Series A investment by a major fund.

  • Represented an Israel-based healthcare technology company in its 20-F, F-2, 6-K and proxy statement filings.
  • Represented two NY-based real estate funds in their private placement capital raises.
