PHILLIPS LYTLE LLP PARTNER FREDERICK G. ATTEA TO PARTICIPATE IN A NEW YORK STATE BAR ASSOCIATION PANEL DISCUSSION ON ADHERENCE TO NEW YORK STATE’S NON-PROFIT REVITALIZATION ACT OF 2013
Buffalo, N.Y. – Frederick G. Attea, a partner with Phillips Lytle LLP, a premier regional law firm that is recognized nationally for its legal excellence, will take part in a panel discussion on problems practitioners face in advising clients on compliance issues under the Non-Profit Revitalization Act.
The program, sponsored by the New York State Bar Association’s Business Law Section, Not-for-Profit Corporations Law Committee, will take place on Wednesday, January 28, at the New York Hilton Midtown, in New York City.
Topics to be discussed will include organizational problems, conflict of interest policies, the “independent director” concept, related party transactions and whistle blower policies. The Act, which went into effect on July 1, 2014, has many provisions which adequately address a number of difficulties under the old statute; however, it introduced new areas of concern– especially in regards to fiduciary duties.
Mr. Attea has served as chairperson on the drafting committee of the New York State Bar Association, which worked closely with the Attorney General’s Office and the New York Law Revision Commission in drafting the Non-Profit Revitalization Act of 2013. The Act was the first significant revision of the Not-for-Profit Corporation Law in over 40 years.
At Phillips Lytle, Mr. Attea is engaged in securities and corporate practice with emphasis on mergers and acquisitions, securities law, corporate governance and legal compliance programs. He also concentrates in executive employment agreements and compensation plans. In addition, he is involved in programs for minimizing liability exposures of directors and officers.
Mr. Attea has authored numerous articles and lectured on a variety of business law topics including mergers and acquisitions; business ethics; legal compliance programs; directors and officers liability, insurance and indemnification; and succession planning in family business.
Mr. Attea earned his J.D., with honors, from Fordham University School of Law and his B.S., magna cum laude, from Canisius College.
He is listed in The Best Lawyers in America® and has been selected for the Upstate New York Super Lawyers® list, 2007-2014, as well as Business First of Buffalo and Buffalo Law Journal’s Who’s Who in Law and “Legal Elite of Western New York.”
