Bianca Pavia

Bianca practices primarily in the areas of mergers and acquisitions, commercial real estate transactions, private equity and general corporate matters.

As a member of Phillips Lytle’s Corporate Practice Group, Bianca concentrates her practice on a broad range of transactional matters, including business acquisitions and sales, mergers, contract drafting and real estate transactions. Bianca has experience working with clients involved in multiple industries including real estate development across New York and Florida, buyers and sellers of commercial, residential, industrial and office projects, renewable energy development and financing, hotel development and a wide variety of retailers.

Prior to joining Phillips Lytle, Bianca practiced real estate law where she regularly provided counsel on real property acquisitions, title and survey review, development and leasing, and due diligence, as well as drafting and negotiating a variety of real estate agreements.

She also served as general counsel for a renewable energy company, where she used her expertise to provide counsel and oversight in the development of solar energy projects. Her responsibilities included joint venture, joint development arrangements, a variety of offtake arrangements, Value of Distributed Energy Resources (VDER) value stack agreements, asset purchase agreements and all other commercial transactions integral to the full life span of the company’s development of renewable energy generation facilities.

Representative Matters
  • Sell-Side: Assisted in the representation of a renewable energy company in the negotiation and closing of related transaction documents, including pre- and post-closing agreements for the development of solar energy projects valued at $2 million.
  • Sell-Side: Represented a real estate developer and played a lead role in the negotiation and closing of a $2.8 million commercial real estate transaction.
  • Advised as general counsel to a renewable energy company in the development of solar assets generating approximately 100MW.
